Terms of Service

By creating an account, accessing, or using NexaNav AI™ ("Service") operated by Nettulztech Corp. ("Company"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, Cookie Policy, and AI Disclaimer.

If you do not agree to these Terms, you must not use the Service. These Terms constitute a legally binding agreement between you and Nettulztech Corp.

You must be at least 13 years of age (16 in the EU/EEA) to use the Service. By using the Service, you represent that you meet this requirement. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

The Service is available globally, subject to applicable local laws. You are responsible for ensuring your use of the Service complies with the laws of your jurisdiction.

To access most features, you must register an account using a valid email address. You agree to provide accurate, current, and complete information during registration and to update that information to keep it accurate.

You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.

One person or entity may not maintain multiple accounts for the purpose of circumventing usage limits or fair-use restrictions.

You are responsible for maintaining the confidentiality of your password and account credentials. Never share your password with anyone. We will never ask you for your password by email or phone.

You are responsible for ensuring your password is sufficiently strong and unique. We recommend using a password manager and enabling any available multi-factor authentication. We are not responsible for losses due to compromised credentials that you failed to secure.

NexaNav AI is a Life Navigation Intelligence platform that uses specialized AI agents to provide structured, actionable guidance for decision-making, goal-setting, skill-building, income planning, and personal growth. The Service includes AI-generated analysis, action plans, goal tracking, and related features.

The Service is provided for informational and educational purposes only. It does not constitute professional legal, medical, financial, or therapeutic advice. See our AI Disclaimer for full details.

Nettulz AI provides AI-generated guidance for informational and educational purposes only. Nothing produced by the Service constitutes professional legal, medical, financial, psychological, therapeutic, or any other regulated professional advice.

AI responses are generated algorithmically in real-time and are not reviewed, verified, or endorsed by licensed professionals. AI may produce inaccurate, incomplete, or outdated information ("hallucinations"). You acknowledge this risk and accept full responsibility for verifying all outputs before acting on them. You are solely responsible for: (a) all decisions you make based on AI guidance; (b) maintaining the confidentiality of your account credentials; (c) all activities that occur under your account; (d) ensuring your use complies with all applicable laws and regulations in your jurisdiction.

You agree to provide accurate information during registration and to keep it updated.

We offer a free tier with limited daily AI sessions at no cost. Free accounts do not require a credit card. The features and daily limits of the free tier may change at our discretion. Free accounts are subject to these Terms and our Privacy Policy.

Paid plans (Navigator, Strategist, Enterprise) are billed on a monthly recurring basis. All payments are processed by Stripe and subject to Stripe's terms. Prices are displayed on our Pricing page.

Free Trial: All paid plans include a 7-day free trial. Your card will not be charged until the trial ends. Cancel anytime before the trial ends at no cost. Trial availability may be limited to one trial per user.

Regional Pricing: Discounted prices (up to 60% off) are available for users in eligible regions based on IP geolocation. Regional pricing is a courtesy and may be modified.

Success Fee: A one-time optional Success Fee may be offered as a pay-what-you-want celebration of a milestone. It is not a subscription and does not grant recurring access.

Automatic Renewal: Paid subscriptions automatically renew at the end of each billing period (monthly) unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method for each renewal period until you cancel.

Cancellation: You may cancel your subscription at any time from your account settings or by contacting contact@nexanaviai.com. Cancellations take effect at the end of the current billing period; you retain access until then. No further charges occur after cancellation.

Price Changes: We will provide at least 30 days' notice of price changes via email before they take effect. Price changes do not apply to current billing periods already paid.

Refunds: We offer refunds within 7 days of initial payment if you are unsatisfied. After the trial period, refunds are assessed on a case-by-case basis. To request a refund, contact contact@nexanaviai.com. See our full Refund & Cancellation Policy.

Chargebacks filed without first contacting us may result in account suspension. We comply with applicable consumer protection laws, including the EU Consumer Rights Directive and local equivalents.

Failed Payments: If a payment fails (expired card, insufficient funds, etc.), we will notify you and attempt to collect payment. If payment cannot be completed, your subscription may be downgraded to the free tier or suspended until payment is resolved. We are not liable for service interruptions caused by payment failures on your end.

To keep the Service sustainable for all users, the following fair-use limits apply:

• Free accounts are limited to a set number of AI sessions per day, as displayed on the Pricing page.
• Paid accounts include unlimited or high-volume sessions subject to reasonable, non-automated use. Automated bots, scripting, or bulk request tools are prohibited.
• Each AI request has a maximum input length to control costs and performance.
• Excessive usage that disrupts service stability may result in rate limiting or temporary suspension.

We reserve the right to adjust fair-use limits and may offer higher limits on higher-tier plans.

You agree NOT to use the Service to:

• Engage in or promote illegal activities in any jurisdiction.
• Generate, distribute, or store content that is harmful, abusive, defamatory, obscene, or that violates the rights of others.
• Attempt to extract regulated professional advice (legal, medical, financial) and present it as such to third parties.
• Harass, threaten, or harm other users or our team.
• Reverse-engineer, scrape, or use the Service in ways that could harm its integrity or performance.
• Attempt to extract system prompts, AI instructions, API keys, or internal configuration.
• Circumvent security measures, rate limits, or usage restrictions.
• Use automated tools (bots, scripts, scrapers) to access the Service, except with our prior written consent.
• Use the Service on behalf of a competitor to build a competing product.
• Submit another user's personal data or credentials.
• Violate any applicable export control laws or sanctions regulations.

Violation of this policy may result in immediate account suspension or termination without refund.

The Service, its original content, features, and functionality are and will remain the exclusive property of Nettulztech Corp. Our trademarks (NexaNav AI™, Nettulz AI™) and brand features may not be used without prior written consent.

Warning — Unauthorized Use Prohibited: All intellectual property owned by Nettulztech Corp., including without limitation the NexaNav AI™ and Nettulz AI™ brands, names, logos, website content, AI prompts, software code, interface designs, marketing materials, and all associated creative works, is protected by applicable intellectual property laws including copyright, trademark, and trade secret statutes. No part of this Service may be copied, reproduced, republished, downloaded, displayed, modified, transmitted, scraped, reverse-engineered, resold, redistributed, or used to train other AI systems without the prior written consent of Nettulztech Corp.

Unauthorized use, imitation, or theft of our intellectual property — including operating under a confusingly similar name or brand, copying our content or features, or misappropriating our proprietary technology — is strictly prohibited. Violators will be subject to civil and criminal prosecution to the fullest extent of the law, including claims for damages, injunctive relief, and recovery of legal fees. User Content: You retain ownership of the content (prompts, messages, profile information) you provide to the Service. By submitting content, you grant us a limited license to process it solely to generate AI responses and provide the Service to you. We do not claim ownership of your content.

AI-Generated Output: AI responses generated from your prompts are provided to you for personal use. You may use them for personal, non-commercial purposes. You may not resell, redistribute, or commercially exploit AI-generated output without our prior written consent. We make no claim of authorship over AI-generated content.

You are responsible for the content you submit and must not submit content that violates these Terms or the rights of any third party.

The Service integrates with third-party providers, including Stripe (payments), AI model providers (AI processing), and email service providers. These third parties operate under their own terms and privacy policies. We are not responsible for the practices of these third parties.

The Service may contain links to external websites or resources. We are not responsible for the availability, accuracy, or content of external sites and do not endorse them. Accessing external links is at your own risk.

The Service is provided on an "as available" basis. We do not guarantee uninterrupted, error-free, or secure access. Maintenance, updates, and unforeseen events may cause temporary interruptions. We are not liable for downtime or data loss resulting from circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuance of the Service.

We may suspend or terminate your account if you: violate these Terms; engage in fraudulent or abusive activity; fail to pay applicable fees; or pose a risk to other users, the Service, or our team. We will provide reasonable notice where practicable, except in cases of urgent security or legal risk.

Either party may terminate this agreement at any time. You may delete your data via account settings. Upon termination, your right to use the Service ceases immediately. Data deletion follows our Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED CONTENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or that AI outputs will be accurate, reliable, or suitable for your purposes. Your use of the Service is at your sole risk.

TO THE FULLEST EXTENT PERMITTED BY LAW, Nettulztech Corp., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY OUTCOME, HARM, LOSS, OR DAMAGE (DIRECT, INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE) ARISING FROM OR RELATED TO YOUR RELIANCE ON AI-GENERATED CONTENT OR YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $50.

Some jurisdictions do not allow limitation of liability for certain claims (e.g. consumer protection laws in the EU, Australia, and Canada). In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless Nettulztech Corp. and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

Governing Law: These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Dispute Resolution: We encourage you to contact us first to resolve disputes informally. If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) rules, except where prohibited by local law.

EU/EEA/UK Users: Nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence. EU/UK residents may also use the EU Online Dispute Resolution platform at ec.europa.eu/odr.

Class Action Waiver: To the extent permitted by law, you agree to resolve disputes individually, not as a class member in a class or representative action.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notice at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and all other provisions remain in full force. These Terms, together with our Privacy Policy, Cookie Policy, AI Disclaimer, and Refund Policy, constitute the entire agreement between you and Nettulztech Corp.
